Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Oderweb d.o.o., a company registered in Slovenia ("Company," "we," "us," or "our"), governing your access to and use of the Checkout Clout platform, including any associated software, APIs, plugins, and services (collectively, the "Service").

By creating an account, installing the plugin, or using the Service in any way, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full.

Checkout Clout is a SaaS platform that helps e-commerce store owners identify potential influencer partners among their customers. The Service includes:

• A WooCommerce and Shopify plugin that displays an optional social handle input field at checkout
• Automated lookup of publicly available follower counts for submitted social media handles
• A dashboard for managing, filtering, and communicating with identified leads
• Email outreach tools for contacting potential influencer partners

The Service is provided on a subscription basis. Features available to you depend on your current subscription plan.

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share access with third parties
• Notify us immediately at hi@checkoutclout.com if you suspect unauthorized use of your account

You are solely responsible for all activity that occurs under your account. We reserve the right to refuse registration or terminate accounts at our discretion.

The Service is offered in tiered subscription plans, each providing a monthly allocation of "checks" (social handle lookups). The following applies to all plans:

• Credits reset monthly on your billing date and do not roll over to the next period
• Unused credits expire at the end of each billing cycle — they hold no monetary value and cannot be refunded or transferred
• Credits are non-transferable between accounts or plans
• Exceeding your plan limit will pause new lookups until your credits reset; existing leads remain accessible
• Annual plans are billed upfront for the full year at the discounted rate stated at the time of purchase

We reserve the right to modify plan features, credit allocations, and pricing with reasonable notice. Existing subscribers will be notified at least 14 days in advance of material changes.

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen plan.

• Monthly plans are billed every 30 days from the date of subscription
• Annual plans are billed once per year upfront
• Plan upgrades are prorated — you are charged or credited the difference immediately
• Plan downgrades take effect at the next billing cycle unless an immediate switch is requested
• Failed payments may result in suspension of your account until payment is resolved

Refund policy: All sales are final. We do not offer refunds for partial subscription periods, unused credits, or change-of-mind cancellations. If you believe you have been charged in error, contact us within 7 days at hi@checkoutclout.com and we will review your case.

You may cancel your subscription at any time through the billing portal. Cancellation stops future charges; you retain access to the Service until the end of your current paid period.

Oderweb d.o.o. is committed to compliance with the General Data Protection Regulation (GDPR) and applicable Slovenian data protection law.

You are the data controller. When your customers submit their social media handles at checkout, you (the store owner) are the data controller for that personal data. Checkout Clout acts as a data processor on your behalf, processing handle data solely to provide the Service.

• You are responsible for obtaining any necessary consent from your customers to collect and process their social media handles
• You must provide appropriate privacy disclosures on your store informing customers that their handle may be used to identify potential partnerships
• Upon a customer's request, you must be able to delete their data from your Checkout Clout dashboard using the delete function provided
• We will process personal data only as described in our Privacy Policy and any Data Processing Agreement in force between us

By using the Service, you agree to enter into a data processing relationship with us as described above and warrant that your use of the Service complies with all applicable data protection laws.

Checkout Clout retrieves publicly available social media data (follower counts) based on handles voluntarily submitted by your customers. You acknowledge and agree that:

• Data accuracy is not guaranteed. Follower counts are retrieved from third-party sources and may be outdated, incomplete, or inaccurate. We provide this data on an "as-is" basis with no warranty of accuracy.
• We are not responsible for decisions made based on follower data retrieved by the Service, including influencer partnerships, payments, or campaigns.
• Social media platforms may change their terms at any time, which could affect our ability to retrieve data. We do not guarantee uninterrupted data availability.
• You may not use the Service to collect data on individuals who have not voluntarily submitted their handle through your checkout flow.
• Private accounts, recently created accounts, or accounts with minimal public presence may return zero or no data — this is expected behavior and does not constitute a service failure.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to send unsolicited bulk emails, spam, or harass individuals
• Use retrieved contact or social data to engage in deceptive, misleading, or fraudulent outreach
• Attempt to reverse-engineer, copy, or replicate any part of the Service
• Use the Service to process data of minors under the age of 16
• Share, resell, or sublicense access to the Service or your API credentials
• Attempt to circumvent credit limits, billing systems, or access controls
• Use the Service in any way that violates applicable laws, including anti-spam legislation and GDPR

We reserve the right to suspend or terminate accounts found to be in violation of this policy without notice or refund.

All intellectual property rights in the Service, including the software, dashboard, plugin code, branding, and documentation, are owned by or licensed to Oderweb d.o.o. These Terms do not grant you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your active subscription period.

You retain ownership of any data you upload or input into the Service (such as your outreach email templates). By using the Service, you grant us a limited license to process that data solely to provide the Service to you.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times
• Any data retrieved through the Service is accurate, complete, or current
• The Service will meet your specific business requirements

To the maximum extent permitted by applicable law, Oderweb d.o.o.'s total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 30 days preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of or inability to use the Service.

Either party may terminate the relationship at any time:

• You may cancel your subscription at any time via the billing portal. Your access continues until the end of the paid period.
• We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our discretion. In cases of termination for cause, no refund will be issued.

Upon termination, your right to use the Service ceases immediately. We may retain your data for up to 90 days before permanent deletion, unless you request earlier deletion at hi@checkoutclout.com.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email to the address associated with your account, or by posting a prominent notice on the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect.

These Terms are governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Slovenia. If you are a consumer in the EU, you may also have rights under the mandatory consumer protection laws of your country of residence.
